Terms of Service

These terms are being reviewed by legal counsel prior to launch. The content below reflects our intended terms and will be finalized before VexaPay accepts live transactions.

1. Acceptance of terms

By accessing or using VexaPay's platform, API, or services (collectively, the "Services"), you agree to these Terms of Service ("Terms") on behalf of yourself and the business entity you represent. If you do not agree, do not use the Services. These Terms apply to all users, including businesses in the waitlist and onboarding phases.

2. Eligibility

The Services are available exclusively to businesses (not consumers). By using the Services, you represent that:

  • You are a legal business entity duly organized under applicable law
  • You have authority to bind your organization to these Terms
  • Your business is not engaged in any prohibited activities (see Section 7)
  • You will complete VexaPay's Know Your Business (KYB) verification process

3. Services description

VexaPay provides cross-border payment infrastructure, including access to local payment rails (PIX, Bre-B, SPEI, ACH, SEPA, and others), multi-currency treasury management, and a payments API. VexaPay is not a bank. Funds transmitted through VexaPay are not FDIC insured. VexaPay operates as a licensed Money Services Business (MSB) registered with FinCEN.

4. Fees and pricing

VexaPay charges a flat fee per transaction as stated on the pricing page at the time of your agreement. High-volume pricing is available under a separate negotiated agreement. VexaPay reserves the right to update pricing with 30 days' notice. All fees are exclusive of applicable taxes.

5. Compliance obligations

You are responsible for ensuring your use of the Services complies with all applicable laws, including anti-money laundering (AML) regulations, sanctions screening requirements, and applicable foreign exchange regulations in the jurisdictions in which you operate. You agree to:

  • Provide accurate and complete KYB documentation upon request
  • Notify VexaPay immediately of any change in your business, ownership, or operations that may affect compliance
  • Not use the Services to process payments on behalf of undisclosed third parties
  • Maintain records of transactions as required by applicable law

6. Acceptable use

You may only use the Services for lawful business payment purposes. The Services may not be used in connection with any illegal activity, gambling, adult content, weapons, sanctions-listed parties, or any business that VexaPay determines at its sole discretion poses unacceptable risk.

7. Prohibited activities

The following are strictly prohibited:

  • Money laundering, terrorist financing, or sanctions evasion
  • Transactions involving OFAC, EU, or UN sanctioned persons or entities
  • Processing payments on behalf of undisclosed principals or shell companies
  • Circumventing transaction monitoring or compliance controls
  • Any activity that violates applicable law in any relevant jurisdiction

8. Suspension and termination

VexaPay may suspend or terminate your access to the Services immediately if: you breach these Terms; you fail to complete KYB verification; we are required to do so by law or regulatory directive; or we determine that continued service poses legal, regulatory, or reputational risk. Upon termination, pending transactions will be processed or returned per applicable regulations.

9. Limitation of liability

To the maximum extent permitted by law, VexaPay's total liability for any claim arising from or related to the Services will not exceed the fees paid by you in the three months preceding the claim. VexaPay is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption. Some jurisdictions do not allow exclusion of certain liabilities; in such cases, our liability is limited to the minimum extent permitted by law.

10. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
